Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Solo Syntax ("Company," "we," "us," or "our") concerning your access to and use of the solosyntax.com website and any related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

Services Description

Solo Syntax provides AI research, software development, and data science services. Our Services include but are not limited to:

• AI Research as a Service (custom model development, benchmarking, research)
• Software Development (full-stack development, backend systems, cloud infrastructure)
• Data Science & Analytics Solutions
• Technical Consulting and Advisory Services

Intellectual Property Rights

Our Content

Unless otherwise indicated, the Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by Solo Syntax, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Client Work

For custom development and research projects, intellectual property ownership will be defined in the specific project agreement or statement of work. Unless otherwise agreed in writing, clients retain ownership of their proprietary data and business logic, while we retain ownership of our pre-existing tools, frameworks, and methodologies.

User Responsibilities

By using our Services, you agree to:

• Provide accurate and complete information when engaging our services
• Use the Services only for lawful purposes and in accordance with these Terms
• Not use the Services in any way that violates applicable laws or regulations
• Not attempt to gain unauthorized access to any part of the Services
• Not interfere with or disrupt the integrity or performance of the Services
• Maintain the confidentiality of any account credentials

Project Engagements

Proposals and Agreements

All project engagements will be governed by a separate Statement of Work (SOW) or project agreement that outlines scope, deliverables, timeline, and pricing. These Terms apply in addition to any project-specific agreements.

Payment Terms

Payment terms will be specified in individual project agreements. Unless otherwise stated:

• Invoices are due within 30 days of issuance
• Late payments may incur interest charges
• We reserve the right to suspend work on accounts with overdue balances

Project Changes

Any changes to project scope must be agreed upon in writing. Changes may affect timeline and pricing, which will be communicated before implementation.

Confidentiality

We understand the sensitive nature of our clients' business information. We commit to maintaining strict confidentiality of all proprietary information shared with us during the course of our engagement. Specific confidentiality terms may be outlined in project agreements or separate Non-Disclosure Agreements (NDAs).

Limitation of Liability

To the fullest extent permitted by applicable law:

• Solo Syntax shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from the Services shall not exceed the amount paid by you for the specific service giving rise to the claim
• We do not warrant that the Services will be uninterrupted, error-free, or completely secure

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Solo Syntax and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Services.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

For project engagements, termination terms will be specified in the project agreement. Generally, either party may terminate with written notice, subject to payment for work completed.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Solo Syntax is registered, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
